Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AkuScale platform ("Service") operated by AkuScale LLC ("AkuScale," "we," "us," or "our"), accessible at akuscale.com and app.akuscale.com.

By creating an account or using AkuScale, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use AkuScale. By using the Service, you represent and warrant that you meet these requirements. AkuScale is intended for use in the United States.

2. Account Registration

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access at support@akuscale.com.

3. Subscription Plans and Billing

AkuScale offers the following subscription tiers:

Free: $0/month for up to 3 units
Basic: $2.00 per unit per month
Plus: $3.50 per unit per month
Pro: $5.00 per unit per month

Paid subscriptions are billed monthly in advance. You authorize AkuScale to charge your payment method for recurring subscription fees. All fees are in US dollars and are non-refundable except as required by law or at our sole discretion. We reserve the right to change pricing with 30 days' notice to subscribers.

4. Acceptable Use

You agree not to use AkuScale to:

Violate any applicable law, regulation, or ordinance, including fair housing laws
Harass, threaten, or harm tenants, vendors, or other users
Upload or transmit malicious code, viruses, or harmful software
Attempt to gain unauthorized access to any system or account
Scrape, copy, or redistribute platform data without written permission
Use the platform to send unsolicited commercial messages (spam)
Misrepresent your identity or affiliation

5. Tenant Data and Landlord Responsibilities

As an account holder who adds tenant data to AkuScale, you are the data controller responsible for ensuring you have the legal right to collect and process tenant personal information. You agree to:

Inform tenants that their information will be stored and processed on AkuScale
Obtain any required consents for SMS and email notifications sent to tenants
Comply with all applicable privacy laws including state landlord-tenant laws
Not use tenant contact information collected through AkuScale for purposes outside of property management

6. SMS Messaging

By providing a phone number and enabling SMS notifications, you consent to receive text messages from AkuScale regarding your account, including rent reminders, maintenance updates, lease alerts, and verification codes. Standard message and data rates may apply. You may opt out at any time by replying STOP. This consent is not a condition of purchasing any goods or services.

7. AI-Generated Content

AkuScale uses artificial intelligence to generate lease clauses, renewal strategy recommendations, and other content. AI-generated content is provided for informational and drafting purposes only and does not constitute legal advice. You are responsible for reviewing all AI-generated content for accuracy and compliance with local laws before use. We strongly recommend having a licensed attorney review any legally binding documents.

8. Intellectual Property

AkuScale and its original content, features, and functionality are owned by AkuScale LLC and are protected by applicable intellectual property laws. You retain ownership of data you enter into the platform. By using AkuScale, you grant us a limited license to process your data to provide the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKUSCALE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless AkuScale LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account immediately if you violate these Terms, without prior notice. Upon termination, your right to use the Service ceases. You may request an export of your data within 30 days of termination.

13. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Class action waiver: you waive any right to bring or participate in a class action lawsuit.

14. Changes to Terms

We may update these Terms at any time. We will notify registered users of material changes via email and post the revised Terms with an updated effective date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
